Nebius Certification Exam Terms of Service

These Terms of Use (the "Terms") govern your ("Customer", "you", "your") access to and use https://nebius.com/certification including any content, functionality, and services offered on or through the website (the "Site") and any other websites, platforms, applications, tools, or resources through which Nebius makes its certification services available (collectively the "Channels"), operated by EdTech Plus B.V., a Dutch company, operating at: Tripolis Park, Burgerweeshuispad 101, 1076 ER Amsterdam, Netherlands, and its affiliated entities and partners ("Nebius", "we" or "us"), including all related interactive features, content, and resources offered by Nebius through any of the Channels, to participate in the Nebius certification exam offered by the Nebius authorized training partner through the Channels or through the authorized training centers (all of which are collectively referred to as "Certification Exam").

By accessing or using the Channels, or registering to the Certification Exam, or taking the Certification Exam, you agree to be bound by these Terms and acknowledge that you have read and understood our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Channels or register to the Certification Exam, or take the Certification Exam.

Please read these Terms carefully. By accepting this Terms, either by clicking a box indicating your acceptance, by using (or making any payment for) the Certification Exam, or by otherwise indicating your acceptance of this Terms, you: (1) affirm that you have read and understand, and agree to be bound by, these Terms; (2) represent and warrant that you have the authority to bind the Customer to this Terms. If you do not have such authority, or if you do not agree with the Terms, you may not accept these Terms and may not register and/or take the Certification Exam.

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, ANY CLAIMS ARISING OUT OF, RELATING TO, OR CONNECTED WITH THESE TERMS MUST BE ASSERTED INDIVIDUALLY, UNLESS OTHERWISE REQUIRED BY MANDATORY APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO THE DUTCH ACT ON THE RESOLUTION OF MASS CLAIMS IN COLLECTIVE ACTION (WET AFWIKKELING MASSASCHADE IN COLLECTIEVE ACTIE, “WAMCA”).

Definitions​

"Certification Exam" or “Exam” means any examination, test, or assessment administered by a Nebius-authorized training partner to evaluate a Customer's knowledge, skills, or competency with respect to AI solutions, AI cloud services, infrastructure engineering, and other subject areas designated by Nebius.

"Certification" means the credential, certificate, or designation awarded by Nebius upon successful completion of a Certification Exam in accordance with these Terms.

"Nebius Authorized Training Partner" means a Nebius partner that provides a platform for registering for and taking the Certification Exam.

“Certification Website” means a website operated by Nebius Authorized Training Partner https://certiverse.com/#/ where you should register to schedule, reschedule or cancel the Exam.

Nebius Certification Exam​

Nebius offers Certification Exams designed to assess your proficiency and knowledge with respect to AI solutions, AI cloud services, infrastructure engineering, and other subject areas designated by Nebius. The scope, format, duration, passing criteria, and subject matter of each Certification Exam shall be determined by Nebius in its sole discretion and may be updated from time to time. Nebius reserves the right to modify, suspend, or discontinue any Certification Exam or Certification at any time, provided that Nebius will use commercially reasonable efforts to give at least thirty (30) days’ prior notice of any material modification, suspension, or discontinuation, except where immediate action is required due to security, legal, or integrity concerns. Upon successful completion of a Certification Exam and satisfaction of all applicable requirements, Nebius will issue a Certification to the Customer. Certifications are personal to the Customer and are non-transferable.

Please note the following important points:

  • Nebius is Not Accredited institution: Nebius is not an accredited school or institution. We do not grant formal degrees. The Certificate you receive is not a formal degree.
  • English proficiency requirement: Nebius Certification Exam currently available only in English. English proficiency at a B2 level on the Common European Framework of Reference (CEFR) is required.
  • No Academic Credit: Receiving the Certification does not earn you academic credit that is recognized by other schools or institutions.
  • No Cheating: you must not cheat or act dishonestly to improve your results or affect the results of others. If you are caught cheating, the proctor will stop the exam immediately and notify you of the infraction and what was observed.
  • Exam Registration: After registering for an exam, you must take it within 7 days of registration. you may take the Exam at any date and time that suits you, including immediately after registration.
  • Exam Cancellation: you may cancel your Exam at any time by contacting the Nebius Authorized Training Partner by the following email: support@certiverse.com.
  • Retaking the Exam: If you don’t pass an exam on the first attempt, you can purchase the exam again. There’s a 24-hour waiting period before the exam can be retaken. The 24-hour waiting period between exam attempts is intended for additional study and to enhance exam security.

Eligibility​

The Certification Exam is available to individuals who are at least eighteen (18) years of age. By registering for the Certification Exam, you represent and warrant that you meet this eligibility requirements. The Company reserves the right to request proof of identity and age at any time and to refuse or revoke access to the Certification Exam if you fail to satisfy these requirements.

Exam Application and Account Registration​

To apply for the Certification Exam or to be registered in a waiting list, you will need to provide some personal information. Nebius will use this information according to our Privacy Policy, available at: https://docs.academy.nebius.com/privacy-policy.

It is your responsibility to make sure that all information you provide during application, and any time after, is true, accurate, and complete. If your information changes, you must update it promptly to keep it current and correct.

To access the Certification Exam, you must create an account on the Certification Website by providing accurate, current, and complete information as prompted by the registration process. you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. you agree to notify Nebius immediately of any unauthorized use of your account or any other breach of security. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

Fees, and Cancellation Policy.​

you shall pay the applicable fees for each Certification Exam as published on the Site at the time of registration (the "Exam Fees"). All Exam Fees are quoted in United States Dollars (USD) and can be payable in different currency according to the information specified on the Certification Website.

Please note, Exam Fees do not include taxes, exchange fees, other related to the transaction fees, duties, or other government charges.

Payment must be made in full prior to taking the Certification Exam via the payment methods provided on the Certification Website. All Exam Fees are non-refundable except as expressly provided in these Terms or as required by applicable law. The Company reserves the right to change Exam Fees at any time, provided that any fee changes will not affect Certification Exams for which payment has already been received.

Complimentary Credits and Bonuses​

Complimentary Credits. Upon registering for an Exam, You may receive complimentary credits for one of the Nebius services (www.nebius.com) as a welcome bonus to support hands-on experience with such products. The exact service and the amount of complimentary credits may vary based on marketing activities, product availability, regional considerations, or other factors as determined by Nebius in its sole discretion. Please note: if you are provided with access to use Nebius services (www.nebius.com), your use of Nebius services is subject to compliance with the Nebius Cloud Terms of Use available at https://docs.nebius.com/legal/terms-of-use. To use Nebius Cloud services you will need to provide some personal information. Nebius will use this information according to Nebius Privacy Policy, available at: https://docs.nebius.com/legal/privacy.

Additional Credits Upon Passing. Candidates who successfully pass an Exam may also be eligible to receive additional Complimentary Credits. The amount and availability of any such credits may vary and are subject to change at any time.

Right to Modify or Discontinue. Nebius reserves the right, in its sole discretion, to modify, suspend, discontinue, or revoke any Complimentary Credit program — including changing the amount of credits offered or revoking or withdrawing eligibility for such credits — at any time and without prior notice.

Exam Conduct and Integrity​

Exam Process​

The Exam is delivered by a Nebius Authorized Training Partner through a dedicated external browser application that you must download and install on your computer prior to the Exam.

AI-Based Proctoring. The Exam process may include AI-based proctoring according to the ****Remote Proctoring Terms and Conditions. AI-based proctoring involves the real-time monitoring of you and your computer throughout the examination session for the purposes of examination security and test integrity. your face, desk, workspace, and voice will be monitored and recorded at your location through video, audio, and other technological means ("Test Recordings"), such that all activity within the testing environment may be visible to the AI proctor.

Warnings and Exam Termination. When the AI proctor detects a potential attempt to cheat, the response will depend on the type and severity of the infraction. Minor infractions, such as looking away from the screen, may result in one or more warnings before the Exam is terminated. More serious infractions, such as the appearance of a phone on camera or leaving the testing area, may result in immediate termination of the Exam without prior warning. The number of warnings issued, if any, varies depending on the specific infraction.

Passing the Exam. To pass the Exam, a candidate must complete the Exam without triggering a termination event and achieve a passing score.

Misconduct. If any misconduct is detected during an Exam session, the Exam may be paused or terminated at any time, without refund.

Personal Data. In connection with the Exam, the Nebius Authorized Training Partner will process your personal data, including personal details you provide (such as your name and email address), qualifications, education information, assessment details, Test Recordings, answers to Exam questions, Exam results, and records of technical support interactions based on the Nebius Authorized Training Partner Privacy Statement & Artificial Intelligence (AI) Policy.

Please note: the following registration information may be shared with Nebius: name, last name, email address, amount paid, and certificate name.

Data Retention. Personal data, other than Test Recordings, may be retained by Nebius or the Nebius Authorized Training Partner for record-keeping and verification purposes. Test Recordings will be retained only for the period necessary to verify examination security and test integrity and will be deleted thereafter.

you agree to comply with all examination rules, policies, and procedures communicated by Nebius and Nebius Authorized Training Partner before and during each Certification Exam. you agree not engage in any form of cheating, fraud, or dishonest conduct in connection with the Certification Exam, including but not limited to copying or reproducing Exam materials, sharing Exam content with third parties, using unauthorized aids or resources during a Certification Exam, impersonating another individual, or having another individual take a Certification Exam on your behalf. Any violation of this section may result in immediate disqualification, revocation of any Certification previously awarded, forfeiture of Exam Fees, and permanent suspension from the Certification Exam.

Exam Results and Certification​

Upon completion of an applicable certification exam, the candidate's pass or fail status will be displayed on screen immediately following the conclusion of the exam. A confirmation of the candidate's results will also be transmitted via email within twenty-four (24) hours of exam completion.

For candidates who successfully pass the exam, digital certification credentials will be issued via email within twenty-four (24) hours of exam completion. To claim and activate the digital badge associated with the certification, the candidate must log into the designated credential portal https://info.credly.com/badge-earner-support, and follow the instructions provided in the invitation email to accept the badge. It is the candidate's sole responsibility to ensure that the email address associated with their account is accurate and capable of receiving correspondence related to exam results and digital credentials.

Intellectual Property​

All Exam materials, the platform, and all content, trademarks, logos, and other intellectual property associated with the Certification Exam are and shall remain the exclusive property of Nebius or its partners. Nothing in these Terms grants the Customer any right, title, or interest in or to any intellectual property of Nebius, except for a limited, non-exclusive, non-transferable, revocable license to access and use the platform and other Channels solely for the purpose of participating in the Certification Exam in accordance with these Terms. Customers shall not reproduce, distribute, display, modify, create derivative works from, reverse engineer, or otherwise exploit any Exam materials or Nebius intellectual property without the prior written consent of Nebius.

Certification Validity and Renewal​

Each Certification shall be valid for the period specified by Nebius at the time of issuance (the "Validity Period"). Upon expiration of the Validity Period, the Certification will lapse. To be recertified you must pass the exam again. The Company reserves the right to modify the Validity Period and renewal requirements at any time and will use commercially reasonable efforts to provide advance notice of such changes.

Limitation of Liability​

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, INCLUDING MANDATORY PROVISIONS OF DUTCH LAW, IN NO EVENT WILL NEBIUS OR ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM your (OR ANYONE USING your ACCOUNT'S) USE OF THE NEBIUS CERTIFICATION EXAM SERVICE. NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT NEBIUS’S LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, (II) FRAUD OR FRAUDULENT MISREPRESENTATION, (III) WILLFUL MISCONDUCT (OPZET) OR GROSS NEGLIGENCE (GROVE SCHULD), OR (IV) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE DUTCH LAW.

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL NEBIUS’S AGGREGATE LIABILITY TO you EXCEED THE AMOUNTS PAID BY you TO NEBIUS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, SUBJECT TO THE CARVE-OUTS SET FORTH ABOVE.

Disclaimer of Warranties​

The Certification Exam services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the extent permitted by applicable law. Nebius expressly disclaims all warranties not required by mandatory law, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nebius does not warrant that the Certification Exam services will be uninterrupted, error-free, or secure, or that any defects will be corrected. A Certification does not guarantee employment, professional advancement, or any particular outcome, and Nebius makes no representations regarding the recognition or acceptance of any Certification by any employer, organization, or third party. Nothing in this section affects any statutory warranty rights you may have as a consumer under Dutch law.

Indemnification​

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nebius, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with (a) your material breach of these Terms, (b) your violation of any applicable law or regulation, or (c) your infringement of any intellectual property or other rights of any third party, in each case to the extent caused by your willful misconduct or negligence. This indemnification obligation shall not apply to the extent that the relevant claim, damage, or loss was caused by the negligence or willful misconduct of Nebius.

Governing Law and Dispute Resolution​

These Terms, Additional Terms (if any) and Service Terms shall be governed and construed in accordance with the laws of the Netherlands. All disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands, unless otherwise provided by applicable law.

Termination for Exam Integrity and Agreement Violations​

you understand and agree that if, for any reason and at our reasonable discretion, we determine that your exam results do not accurately reflect your true knowledge or mastery of the exam's subject matter, or that you have materially violated any term or condition of these Terms, we shall have the right, subject to applicable law, to take any or all of the following actions:

  1. Deny you any further participation in the exam, whether in whole or in part, including any retake or supplemental examination opportunity.
  2. Cancel any passed exam result, regardless of when such result was achieved, and deem such result null and void for all purposes.
  3. Revoke any preexisting certificates, badges, credentials, designations, and any other rights, privileges, or benefits previously conferred upon you in connection with the certification program.
  4. Permanently bar you from any further participation in the certification program, including but not limited to future examinations, coursework, credentialing activities, and related events or benefits.

Modifications to Terms​

Nebius may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on the Site and, where required by applicable law, by sending you a notification via the email address associated with your account at least thirty (30) days before the changes take effect. Non-material changes may take effect immediately upon posting.

By continuing to use the Site and Nebius Certification Exam services after changes take effect, you agree to the updated Terms. If you do not agree with the changes, you may stop using the services and, where applicable, terminate your account. In such case, any Exam Fees already paid for Certification Exams not yet taken shall be refunded to you, subject to any applicable cancellation policy.
